Services

Everything a transaction needs to reach financial close.

Four connected services cover the path from a project idea to signed financing. Use them together, or bring us in at the point where your transaction needs help.

Financial modelling & bankability

Prepare: a model and a project that funders can rely on.

The problem

Lenders and investors test a project through its financial model. If the model is hard to follow, or its assumptions do not match the contracts, permits and technical reports, the transaction slows down or the terms get worse.

What we do

  • Build a project finance model, or restructure and review one that already exists
  • Document each assumption in an assumptions book, tied to the source document behind it
  • Run base case, sensitivity and downside cases, and size debt against the cash-flow coverage tests lenders apply
  • Review revenue arrangements, construction and operating contracts, permits, security and risk allocation against what funders normally require
  • Set out the gaps in priority order, with an owner and action for each

What you receive

  • Financial model and assumptions book
  • Summary of results across the base case and sensitivities
  • Bankability gap report with prioritised actions

Financing strategy & structuring

Structure: the right mix of debt and equity for the project.

The problem

Many sponsors settle on a financing structure before they know what lenders and investors will accept. A structure chosen by default can cost more, take longer, or fail to attract the funders the project needs.

What we do

  • Compare debt and equity mixes, tenors and repayment profiles against the project's cash flows and your objectives
  • Map the types of funder who could take part, such as commercial lenders, development finance institutions and equity investors, and what each typically requires
  • Set out how risk is shared between sponsor, lenders and investors, and where the structure needs to change to be financeable
  • Recommend how the project's financing should be structured, and in what sequence your team approaches funders
  • Prepare indicative terms so discussions with funders start from your position

What you receive

  • Financing strategy paper with structure options and trade-offs
  • Funder long list and approach plan
  • Indicative term sheet outline

Debt & equity capital raising

Fund: materials and process support that let funders decide quickly.

The problem

Lenders and investors see many opportunities. They engage with the ones that are clear, consistent and easy to assess, and pass on those that are not.

What we do

  • Prepare the information memorandum, teaser and funder presentation, consistent with the model and the project documents
  • Organise the data room so funders can find what they need
  • Help you draw up a target list and a plan for how and when your team approaches each funder. You lead those conversations and hold the relationships
  • Coordinate funder questions and responses, and keep a log of each conversation
  • Set out the terms of the indicative offers and term sheets you receive side by side, to support your own decision

What you receive

  • Information memorandum, teaser and funder presentation
  • Data room and question-and-answer log
  • Side-by-side comparison of the terms you receive

Due diligence, negotiation & financial close

Close: one coordinated path from term sheet to signature.

The problem

After a funder is selected, lenders' advisers ask for documents and explanations, the financing agreements are negotiated, and dozens of conditions must be met by different parties. Without one coordinated view, deadlines slip.

What we do

  • Coordinate due diligence: request lists, responses, open points and escalations
  • Support your team in commercial negotiations on term sheets and financing terms, alongside your legal counsel
  • Keep the model, the documents and the information given to funders consistent as terms change
  • Track conditions precedent, who owns each one, and what is still outstanding
  • Manage the closing timetable, and the financial inputs needed for financial close

What you receive

  • Due diligence tracker and data room index
  • Negotiation issues list, with the options for each point
  • Conditions-precedent checklist and closing timetable
Complementary capability

After financial close: reporting and monitoring

Once a transaction has closed, lenders and investors expect regular, reliable reporting. Where it is useful to a client, we can continue to help with lender and investor reporting, covenant tracking and portfolio monitoring, drawing on the model and structure we helped put in place.

This sits alongside our transaction work. It is not offered as a standalone product.

Fees

Agreed at the start, in writing.

We work on either a retainer or a success fee, agreed before work begins. The right basis depends on the scope of the engagement and how far the transaction has progressed.

What to expect from us

Clear about what we do and what we do not.

We work with your advisers

We coordinate with your legal counsel, technical advisers and auditors. We do not provide legal, tax or technical advice.

We do not promise funding

Funders make their own decisions. Our job is to make the transaction as clear, complete and financeable as it can be.

We tell you if we are not the fit

If your transaction needs a different kind of adviser, or is not yet ready for us, we will say so.

Regulatory status

What we do not do

Basis Partners is not authorised or regulated by the Financial Sector Conduct Authority (FSCA). Our work is analysis, preparation and coordination: models, structuring analysis, information materials, and management of diligence and closing workstreams.

We do not provide financial product or investment advice, and we do not arrange, place, introduce or solicit investments or loans. You lead all discussions with funders and take your own decisions, and you should take legal advice on regulatory questions.

Which of these does your transaction need first?

Tell us where you are. We will suggest a starting point.
