Transaction advisory

Prepare, structure, fund, and close.

Basis Partners advises on project finance and capital raising. We build the financial model, shape the financing, prepare the materials lenders and investors need, and stay with the deal through due diligence, negotiation and financial close.

Working in South Africa, Botswana, Namibia, and Zambia.

Our team has worked across

Where transactions slow down

Funders decide on what they can verify.

A lender or investor will only move as fast as the information in front of them allows. Most delays trace back to a small number of avoidable gaps.

The model and the project disagree

Assumptions in the model differ from the contracts, permits and technical reports. Lenders find the differences in due diligence, and each one costs time or terms.

The structure was assumed, not tested

Sponsors approach the market with one financing structure in mind before finding out what different lenders and investors will actually accept.

The materials are not ready

An incomplete information pack produces slow, repeated questions, and funders move on to opportunities that are easier to assess.

Close is a project of its own

Between term sheet and financial close, many parties, documents and conditions must be coordinated to one timetable.

What you receive

Practical outputs, not a slide deck of advice.

Depending on the engagement, you receive working documents you can hand to funders, counsel and your own board.

  • A project finance model with a separate assumptions book that traces each input to its source
  • A bankability gap report: what funders will ask for, what is missing, and who needs to close each gap
  • A financing strategy paper comparing structures, sources of capital and their trade-offs
  • An information memorandum, teaser and funder presentation built on the model outputs
  • A data room index and due diligence tracker showing open, answered and escalated questions
  • A term sheet comparison and a list of the commercial points to negotiate
  • A conditions-precedent checklist and closing timetable through to financial close
  • A short update after each milestone, so your team always knows where the transaction stands
How an engagement works

Start with what exists, then fix what matters.

  1. Scope

We talk through the transaction, where it stands and what you need from us. We tell you whether we can help and how we would approach it.

  2. Review

We review the model, contracts, papers and information already available, and give you a clear list of what is strong, what is missing and what to do first.

  3. Deliver

We carry out the agreed workstreams, from modelling and structuring to materials and funder engagement, working alongside your legal, technical and other advisers.

  4. Close

We coordinate diligence responses, negotiation points and conditions until the transaction reaches financial close.

Complementary

After financial close

Funders and investors expect regular reporting once a transaction has closed. Where it is useful, we can continue to support lender and investor reporting, covenant tracking and portfolio monitoring after a deal has closed. It complements our transaction work; it is not the main focus of the firm.

Tell us where your transaction stands today.

A short description is enough to start. We will tell you whether we can help and what a first step would look like.
